How many directors are there on CIRA’s Board of Directors?
There are 15 directors on CIRA's Board of Directors. Twelve are elected and hold voting seats. The other three, called ex-officio members of the Board, are appointed. They include CIRA's President and CEO, a Government of Canada representative and John Demco, the founder of .CA.
Are there minimum qualifications for becoming a director?
Yes. CIRA's by-laws proscribe certain requirements. Amongst other matters, a director must be:
- At least 18 years of age, with power under law to contract.
- Either a Canadian citizen or a permanent resident (as defined in the Canadian Immigration Act) who has lived in Canada for more than 183 days in the one-year period that ends the day after the directors' election.
A director must also:
- Read and agree in writing to obey CIRA's rules, regulations and policies.
- Sign an oath of office to follow those rules, regulations and policies before beginning his or her term of office as director.
- Directors do not have to be members of CIRA.
What are the duties of the Board of Directors?
The Board of Directors sets the policies and strategies that make CIRA a world leader among Country Code Top-Level Domain (ccTLD) registries. It also supports our primary objective to make .CA the domain name of choice of all Canadians.
When and where does the Board meet?
The Board meets at least four times a year. It usually holds in-person meetings in Ottawa, but may conduct meetings by telephone and/or video conference.
How does the Board settle matters that require a decision?
The Board votes on any matter that requires a decision. Each elected director has one vote.
How long do elected directors serve on the CIRA Board?
Elected directors normally serve for three years and may be re-elected.
Do Board directors receive remuneration or an honorarium?
Directors are reimbursed for reasonable expenses they incur while performing their duties as directors.
Elected Board directors are also eligible for compensation. They may waive their right to this compensation or ask the Corporation to pay the compensation to a charity of their choice.

What compensation do members of the CIRA Board of Directors receive?
The compensation that members of the CIRA Board of Directors receive depends on their role within the Board of Directors, the number and type of meetings they attend, and any additional committee work they perform.
